ITC announces voluntary liquidation of wholly owned subsidiary Prag Agro Farm

ITC on Friday informed stock exchanges that its wholly owned subsidiary, Prag Agro Farm Limited, has been voluntarily liquidated with effect from December 10, 2025.

In a regulatory filing, the company said the liquidation was carried out pursuant to an order passed by the National Company Law Tribunal, Mumbai Bench, on the same date. The order was received by ITC on December 18, 2025. Following the liquidation, Prag Agro Farm Limited has ceased to be a wholly owned subsidiary of ITC.

The company clarified that Prag Agro Farm Limited had a total income of Rs 9.62 lakh in FY2024–25, which accounted for around 0.0001% of ITC’s total income for the financial year. The subsidiary’s net worth stood at Rs 82.11 lakh as on March 31, 2025, representing approximately 0.0013% of ITC’s net worth.

ITC further stated that no consideration was received from the liquidation process and that the transaction does not fall under related-party transactions. The company also confirmed that the liquidation was not part of any scheme of arrangement.

The disclosure was made under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015.
