Vadilal Dispute: Dispute again in Vadilal family over three decades old agreement, case in Bombay High Court

Vadilal Dispute Bombay Court: Controversy has again arisen in the Gandhi family, which controls Vadilal. This old family matter has come into limelight as the Vadilal controversy reached the Bombay court. At its root lies a nearly three-decade-old agreement under which control of the company was divided. After this dispute, now the Gandhi family of Vadilal Company is completely divided into two groups.

In this dispute, Mumbai and Ahmedabad factions of Gandhi family have come face to face with each other. The Mumbai faction has now approached the Bombay High Court for justice regarding its demands. According to this agreement signed in 1993, the entire business was divided between the Mumbai and Ahmedabad factions. Both the groups have also made many serious allegations against each other in the court regarding the matter.

Mumbai group demands from court

The Mumbai faction wants the Ahmedabad faction to be stopped from any interference in the ice cream and juice business. Under the 1993 agreement, the right to sell these products has been exclusively given to the Mumbai group only. Shailesh Gandhi-led Vadilal Dairy International has sought interim relief from the court in its petition.

Special rights granted in the agreement

The Mumbai faction says that under the 1993 agreement, it had got rights in Maharashtra, Goa, Karnataka and Kerala. In return, the Mumbai faction had completely divested its stake in the group’s trademark holding company at that time. The Mumbai faction alleges that the Ahmedabad faction has taken many big and wrong steps to harm their business.

Serious allegations of Ahmedabad group

Lawyers for the Ahmedabad faction argued that serious microbiological contamination was consistently found in the Mumbai faction’s products. They say that Vadilal Dairy International is violating the quality control rules of the Registered User Agreement of 1992. These allegations also include many big efforts like trademark lawsuit in America and strict inspection of factories.

Initiation of Arbitration Process

The Mumbai faction argues that the Ahmedabad Group had considered buying this business after resolving mutual disputes. But after the talks failed, the Mumbai faction has started the legal arbitration process under the settlement clause of 1993. The Mumbai faction wants interim relief till the Arbitral Tribunal gives its final verdict in the matter.
