New Delhi: Coforge shares came under heavy selling pressure on Wednesday, September 9, after the IT services company announced the resignation of its chairman and non-executive independent director, Om Prakash Bhatt. The stock fell as much as 9% on the BSE to Rs 1,780 during the session, as investors reacted to concerns raised during an internal audit of the company’s board evaluation process.
The sharp decline came despite Coforge reporting strong financial growth in the first quarter of FY27. The company’s latest results had shown significant increases in both revenue and profit, while its shares had also delivered substantial gains over the past several months.

Why did Om Prakash Bhatt resign?
Bhatt resigned from the Coforge board with immediate effect on September 8, 2026. His resignation followed an internal audit conducted as part of the company’s audit plan for the second quarter of FY27.
The review examined several aspects of the board evaluation exercise conducted under Bhatt’s guidance. According to Coforge, the audit raised concerns about the way the board evaluation report had been handled and presented to the board.
In particular, the audit found that some material information related to the report and Bhatt’s performance may not have been fully disclosed when the evaluation report was presented.
The board subsequently raised the concerns with Bhatt and sought his explanation. He submitted his response, following which the board began reviewing the matter. However, the board had not reached a final decision on the issues when Bhatt decided to resign.
Coforge said Bhatt maintained that he had acted in good faith. In his resignation letter, Bhatt indicated that continuing on the board while there was a disagreement regarding the nature of his actions in the board evaluation process could affect the effective functioning of the board.
